GENERAL CONDITIONS OF SALE

1) GENERAL Our general terms and conditions of sale are the only ones valid, even in the event of contrary indications mentioned in the general terms and conditions of purchase of our customers. The mere fact of placing an order with us implies the express and unconditional acceptance of each of them. Any special agreement deviating from them is only binding on us if it includes written confirmation from us. The mere fact of accepting the goods implies the unconditional acceptance of our general terms and conditions of sale and renders null and void any special clause of the customer. 2) PRICES Unless otherwise stated, the prices of our offers are set in EURO and are exclusive of tax for equipment delivered, unloaded and put into service in Metropolitan France. The costs of preparing the installation site, and in particular the costs relating to paving, site development, connections to the electricity and Internet networks are the responsibility of the customer. The costs inherent in the rental of unloading equipment and the insurance of the equipment are also the responsibility of the customer. Unless otherwise stated, the validity period of our offers is set at three months. In the event of delivery more than six months after the order, SELFBETON reserves the right to review its pricing conditions. 3) PAYMENT TERMS Unless expressly agreed, the payment terms for our machines are as follows: - Deposit of €5,000 upon ordering. No order will be taken into account without payment of the deposit. - 90% of the residual value including tax 4 days before delivery. No delivery will take place without this payment. - Balance upon commissioning. In the event of deferred delivery of accessories not essential to the normal operation of the machine, payment of the balance after commissioning will be due in proportion to the deliveries made. The payment terms for our invoices, which do not concern our machines but only services or accessories, are 30 days from the invoice date.

4) LATE PAYMENT In the event of late payment of all or part of an invoice, we reserve the right to increase its amount by 10% with a minimum of 40 Euros, without prejudice to late payment interest calculated on the basis of the rate in force. 5) DELIVERY AND START-UP TIMES The delivery times mentioned on our purchase orders are only indicative. Under no circumstances can we accept penalties, requests for compensation or cancellations of orders for late delivery, whatever the reason given. 6) INSTALLATION CONDITIONS The buyer agrees to comply with SELFBETON's recommendations in terms of installation prerequisites. These recommendations are stipulated in writing by SELFBETON at the time of confirmation of the order to the customer. Failure to comply with these installation recommendations may delay the assembly of the equipment, or even force SELFBETON to extend its intervention on the buyer's site. The costs inherent in these delays (labor, travel, accommodation, etc.) will be charged to the buyer.

7) RESPONSIBILITIES OF THE BUYER The buyer is solely responsible for the products sold through SELFBETON equipment. It is up to the buyer to clearly inform his customers about the possible destinations of these products. SELFBETON strongly recommends that the buyer establish his own general conditions of sale. SELFBETON would not be held responsible in any way in the event of a dispute related to the final use of the products. 8) COMPLAINTS AND RETURNS OF PARTS All complaints about the conformity of the equipment delivered in relation to the order must reach us within 10 days of receipt of the equipment. The deadline for a return request must be made within a maximum of 15 days from the date of receipt of the goods. When we accept returns of goods, we will only be able to establish a credit note, reduced by 20% for management costs, if the returned parts reach us in good condition without having been used and after verification and acceptance by SELFBETON. Any return with postage due will be refused by our services. 9) WARRANTY Subject to normal maintenance and use in accordance with the manufacturer's instructions, the machines will be guaranteed for a period of one year from the date of delivery. This warranty covers the replacement of defective parts and the labor of reassembly, excluding all damages for any reason whatsoever. Any technical modification or modification of the characteristics of the machine without the authorization of SELFBETON renders our warranty void and releases us from all liability. 10) TRANSFER OF OWNERSHIP The equipment remains the property of SELFBETON until full payment of the price. The buyer assumes all risks of loss, deterioration, even in the event of fortuitous events, acts of others or force majeure and undertakes to insure the equipment upon delivery. If a claim occurs after delivery but the equipment is still the property of SELFBETON, the compensation owed by the insurance company must be collected directly by SELFBETON or paid by the buyer to SELFBETON.

11) DISPUTE In the event of a dispute or litigation, the courts of the headquarters of SELFBETON will have sole jurisdiction.
